Need to clear up something

I have old forums in folder http://www.mysite.com (this is where I want to import database from) and I have http://www.mysite.com/forums folder (this is where i want to xport database into)
Sorry for stupid question but where exactly do I install ImPex (which admin cp folder, of the first forum or of the second) and how do I export files? First board is 3.0.8, the second one is 3.5.0

You install impex inside the 3.5.0 forum.
